Florida Board of Employee Leasing Companies Meeting Report: October 2010

The Florida Board of Employee Leasing Companies Board of Directors (“Board”) met via teleconference on October 20, 2010 to consider various employee leasing company-related matters.  To view the meeting agenda, click here.

At the beginning of the meeting, Ed Slavin of Global Wrap LLC stated that his company had sent “several letters” to Florida Department of Business and Professional Regulation (“DBPR”) Executive Director Richard Morrison regarding his perception of missing public comment time during BELC meetings.  Mr. Slavin asked if such time could be allotted in that day’s meeting, to which Board Chairman Abram Finkelstein responded that he would allow public comment if enough time remained once the Board reached the end of its agenda.

After approval of the most recent meeting minutes, the Board considered an employee leasing company and related controlling person group leader application for Impact Staff Leasing, Inc. (“Impact”), along with its four commonly-owned companies, which were applying as group members.  The Board noted that Impact Staff Leasing’s application financial statements showed assets, while the four group member applications did not.  It was stated that Impact had cross guarantees with each of the four group member applicants. 

Board members questioned whether it was legal to approve applications for companies with no reported assets.  The companies’ owner and controlling person applicant, Mark Knaier, stated that he had since put capital into three of the four companies.  Chairman Finkelstein stated his opinion that F.S. 468.525(3)(c) provides for licensure of these companies because of the existing cross guaranty.  Thus, the Board approved Impact’s group license and controlling person applications.        

The Board approved the following employee leasing company name changes with no discussion:

  • Payroll Made Easy, Inc. – Group Leader
    • TO: Payroll Made Easy, Inc. d/b/a Continuum HR
  •  Payroll Made Easy II, Inc. – Group Member
    • TO: Payroll Made Easy II, Inc. d/b/a Continuum HR

The Board also approved the relinquishment of David Charles Dreyer as controlling person of the following employee leasing companies:

  • AlphaStaff, Inc. d/b/a Alphastaff – Group Leader
  • Alpha FLA 6, Inc. d/b/a Alphastaff – Group Member
  • AlphaStaff 3, Inc. d/b/a Alphastaff – Group Member
  • AlphaStaff Systems V, Inc. d/b/a Alphastaff – Group Member
  • AlphaStaff 2, Inc. d/b/a Alphastaff – Group Leader
  • AlphaNY 2, Inc. d/b/a Alphastaff – Group Member
  • Alpha NYPEO, Inc. d/b/a Alphastaff – Group Member
  • Equity Leasing-Finance II, Inc. d/b/a Alphastaff – Group Member
  • AlphaGA 2, Inc. d/b/a Alphastaff – Group Member
  • ASI Resources, Inc. d/b/a Alphastaff – Group Member

During the meeting, it was announced that Mary Ellen Clark will be replacing Lisa Comingore as Board Counsel. 

Richard Morrison, Executive Director of the DBPR, reported that electronic agendas should be in place by the February 2011 Board meeting. 

He also stated that there might be three vacancies on the Board in the near future. 

Chairman Finkelstein allowed time for public comment, during which Mr. Slavin stated that he spoke at the March Board meeting and that the minutes did not include his comments. 

Mr. Slavin also said that he attended and spoke at a June 2010 Board Rule Workshop, for which he said minutes had not yet been produced.  Ms. Comingore said that the June meeting was not considered to be a Rule Workshop.  Mr. Morrison added that meeting minutes, which are created with the intent of being a high-level summary, are not a substitute for transcripts, which are available by request.  Chairman Finkelstein stated that citizens’ concerns are taken seriously and that the existence of a statutory requirement to take minutes for Rules discussions would be researched.

With no further business on the agenda, the meeting was adjourned.  The next Board meeting is scheduled for November 17.
