Sandy P. Fay is a Shareholder in the firm’s Insurance Regulatory and Corporate & Transactional practice groups. He represents insurance industry clients nationwide on regulatory compliance, corporate structuring, licensing, mergers and acquisitions, reorganizations, solvency matters, and market conduct issues. Sandy advises start-ups and established carriers on formation, expansion into new jurisdictions, financing transactions, and ongoing regulatory obligations.
Sandy prepares regulatory filings, drafts and negotiates insurance-related agreements, and represents clients in administrative proceedings involving rate hearings, licensing, and rule challenges. He works closely with insurance regulators across all 50 states and manages every phase of the licensing and approval process.
In addition to his regulatory practice, Sandy counsels clients on corporate and transactional matters, including entity formation, shareholder and operating agreements, confidentiality issues, employment agreements, and financing and loan transactions. He also has experience in commercial litigation, class actions, and appellate matters in state and federal courts.
